Article 1 – Definition
The Association is named “International Research Association on Circular Economy”, with the acronym “IRACE”. The registered office is located in  Padova, Italy. The Association is a non-profit organization and does not aim to establish affiliated associations, although it may participate in other associations or entities pursuing similar or identical objectives.   The duration term is established as indefinite.”		Articolo 1 – Definizione
Il nome dell’associazione è “International Research Association on Circular Economy”, con l’acronimo “IRACE”.
La sede legale è ubicata in Padova.
L’Associazione è un’associazione senza scopo di lucro e non si prefigge di costituire associazioni affiliate, potendo tuttavia partecipare ad altre associazioni od enti che perseguono pari o simili finalità.
La durata è stabilita a tempo indeterminato.
Article 2 – Statutes and Regulations The association is governed by the present Statute, in accordance with the General Principles of Italian Law and currently enforced Regulations. For the execution of the Association’s institutional activities and the consequent achievement of its objectives, one or more Regulations may be approved. The Regulations are defined and approved by the Managing Board (MB), with the favorable vote of two-thirds (2/3) of the MB members. The Regulations, like any other decision of the Managing Board, may also be validly approved by approving a text proposed by the President and circulated to the MB members via email, to be approved or not by the MB members, also via email, provided that the required majority is reached.   It will be the President’s responsibility to inform the members of the approved Regulations. In the event of a conflict between a Regulation and the Statute or Italian Law, the provisions of Italian Law will apply first, where it concerns mandatory or non-derogable rules, followed by the applicable Statute.Articolo 2- Statuto e Regolamenti
L’Associazione è disciplinata dal presente Statuto, nel rispetto dei Principi Generali dell’Ordinamento Giuridico Italiano e della Normativa vigente.
Per lo svolgimento delle attività istituzionali dell’Associazione ed il conseguente raggiungimento degli scopi sociali, possono essere approvati uno o più Regolamenti. I Regolamenti vengono definiti e deliberati dal Consiglio Direttivo, con il voto favorevole dei 2/3 (due terzi) dei Consiglieri.
I regolamenti, così come ogni altra decisione del Consiglio Direttivo, possono essere validamente approvati anche mediante approvazione di un testo proposto dal Presidente e fatto circolare ai Consiglieri tramite e-mail ed approvato o meno dai Consiglieri stessi sempre mediante e-mail, purché sia raggiunta la prescritta maggioranza.
Sarà compito del Presidente portare a conoscenza dei soci i Regolamenti approvati.
In caso di conflitto tra Regolamento e Statuto o Legge Italiana, varrà quanto previsto, nell’ordine, dalla Legge Italiana ove si tratti di norma inderogabile o non derogata dallo Statuto, e dallo Statuto in vigore.
Article 3 – Objectives of the Association
The Association aims to provide an intellectual platform to encourage and support the integrated and sustainable management of Circular Economy and to promote scientific multidisciplinary development.
The Association shall carry out its activities in accordance with the principles of internal democracy, democratic structure, elective offices, and the non-remunerated nature of associative positions. (i.e. President, Deputy President, Members of the Managing Board).
The objectives of the no-profit Association are the following:
• to collect, develop and disseminate accurate information on world-wide basis on all aspects of Circular Economy with particular emphasis on the results of Scientific Research and on strategic matters;
• to promote practical and scientific advancement;
• to favour education, exchange of knowledge, experiences and meeting opportunities.
• to stimulate the attention of decision makers and regulators towards the results of IRACE activities		Articolo 3 – Fini dell’associazione
L’associazione mira a fornire una piattaforma intellettuale per incoraggiare e supportare la gestione integrata e sostenibile dell’Economia circolare e per promuoverne lo sviluppo scientifico multidisciplinare.
L’Associazione svilupperà la propria attività secondo i principi di democraticità interna e della struttura, di elettività, di gratuità delle cariche associative (es. Presidente, Vice-Presidente, membri del Consiglio Direttivo, etc.).
I fini dell’Associazione senza scopo di lucro sono i seguenti:
• raccogliere, sviluppare e diffondere informazioni precise e veritiere nel mondo su tutti gli aspetti della gestione dei rifiuti solidi, con particolare attenzione ai risultati della Ricerca Scientifica e alle questioni strategiche;
• promuovere il progresso scientifico e operativo;
• favorire la formazione, lo scambio di conoscenze,di esperienze e di opportunità di incontro;
• stimolare l’attenzione dei decisori politici e dei legislatori verso i risultati delle attività promosse da IRACE.
Article 4 – Means of pursuing the objectives of the Association
The aims of the association will be pursued through both material and immaterial means, as outlined below.
Immaterial means will include:
a) Scientific support for conferences, symposia, seminars, working groups, and training courses;
b) Publications of a journal, texts, and training materials;
c) Creation of a website;
d) Organization of research activities.
Material means will include:
a)Membership fees;
b)Service fees for seminars, working groups, and training courses;
c) Publication and sale of texts and handouts;
d) Grants, bequests, and donations;
e) Gifts, donations, and research funding;
f) Any other income from any source to the Association.
The Association shall not be entitled to distribute, even indirectly, operating surpluses and funds, reserves or capital during its lifespan, unless the destination or distribution is imposed by law or carried out in favour of other associations, which, on the grounds of Law, Statute or Regulations pursue similar aims.
The Association shall be obliged to use any operating surpluses for institutional or directly associated activities. Any management deficits shall be covered by funds or reserves created from the surpluses of previous years, or, failing that, by means of a temporary loan to be obtained from banks or building societies or donated by the members of the Managing Board and/or members at their discretion. The above- mentioned loans shall be repaid by the Association as soon as it regains its financial capacity. If the loans cannot be repaid in the short-term or in subsequent years from the surpluses of the Association, the creditor may place a claim on the assets of the Association, or alternatively the General Assembly may approve a request by the Managing Board for a one-off contribution by all Members, until full repayment of the loan.		Articolo 4- Mezzi per perseguire i fini dell’associazione
I fini dell’associazione saranno perseguiti con mezzi materiali ed immateriali qui di seguito indicati. 
I mezzi Immateriali saranno:
a)supporto scientifico per conferenze, simposi, di seminari, gruppi di lavoro e corsi di formazione;
b)pubblicazioni di una rivista, di testi e materiale formativo;
c)creazione di un sito Internet;
d)organizzazione di attività di ricerca .
I mezzi materiali saranno:
a) le quote associative;
b) quote di servizio per seminari, gruppi di lavoro e corsi di formazione;
c) la pubblicazione e vendita di testi e dispense;
d )sovvenzioni, eredità legati e donazioni;
e )liberalità, donazioni e finanziamenti di ricerca.
f) ogni altra entrata a qualsiasi titolo dell’Associazione;
L’Associazione ha il divieto di distribuire, anche in modo indiretto, avanzi di gestione nonché fondi, riserve o capitale durante la propria vita, a meno che la destinazione o la distribuzione non siano imposte per Legge o siano effettuate a favore di altre associazioni che per Legge, Statuto o Regolamento perseguono scopi analoghi.
L’Associazione ha l’obbligo di impiegare gli eventuali avanzi di gestione per la realizzazione delle attività istituzionali e di quelle ad esse direttamente connesse. Eventuali disavanzi di gestione saranno coperti con i fondi o le riserve createsi con avanzi di gestione di precedenti esercizi o, in mancanza, tramite prestiti temporanei da richiedersi ad Istituti di Credito o effettuati spontaneamente dagli stessi Componenti del Consiglio Direttivo e/o da Soci. Detti prestiti saranno restituiti dall’Associazione non appena questa ne avrà la capacità finanziaria. Qualora detti prestiti non possano essere restituiti a breve o negli anni successivi dagli avanzi di gestione dell’Associazione, il creditore potrà rivalersi sui beni dell’Associazione, o in alternativa il Consiglio Direttivo potrà deliberare il versamento di contributi straordinari da parte di tutti i Soci, sino ad integrale restituzione del prestito.
